You agree to indemnify, defend and hold SITI Broadband, its affiliates, officers, directors, employees, agents, licensors, suppliers and any third party information providers to the Website harmless from and against all losses, expenses, damages and costs including but not limited to attorneys' fees, other expenses that arise directly or indirectly resulting out of or from your breach of this agreement, your violation of the undertaking, representation and covenants as mentioned above and/or your activities in connection with this Website.

Third Party Rights

The provisions of Clauses 5 (Disclaimer of Warranties and Liabilities), and Clause 6 (Indemnification) are for the benefit of SITI Broadband and its officers, directors, employees, agents, licensors, suppliers, and any third party information providers to the Service.

Termination

You understand and agree that SITI Broadband may, at its sole discretion and at any time, terminate your password, user account or use of any service for any reason.

You understand and agree that SITI Broadband may take any one or more of these actions, in its sole discretion, immediately deactivate and/or delete any or all information about and concerning your user account, including your registration information.

You understand and agree that SITI Broadband shall not have any liability to you or any other person for any termination of your access to any service and/or the removal of information concerning your account.

Severability

If any provision of the terms and conditions shall be held unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these terms and conditions and shall not affect the validity and enforceability of the remaining provisions.

Registration and Acceptance of Terms

In consideration of your use of service of the Website, you agree to:

  • Comply with the rules.
  • Provide accurate, complete and true information about yourself as may be required on any registration form for the service in order to create your User Account.
  • Maintain and update, as applicable, your registration information with current and complete information.

Users who violate these rules, or provide inaccurate, false or fake registration information may, at SITI Broadband sole discretion, have their user account suspended or terminated and may be permanently banned from having any current or future service from the Website.

As part of your user account, you will be responsible for creating and maintaining confidentiality of your user name and password.

You are advised to select a user name other than your real name or real name of any other person. We also urge you to memorize your password or keep it in a secure place.

You agree that you will:

  • Immediately notify SITI Broadband of any unauthorized use of your account.
  • Ensure that you properly exit all services at the completion of your use session.

SITI Broadband will have no liability for any loss or damage arising from your use of a user account, the Website or any service or your failure to comply with these requirements.

Watcho Terms and Conditions

This "Terms of Use" ("Agreement") shall govern your right to offer Watcho Service Plans. The same includes your right to offer the subscription and access to the content available on Watcho Platform i.e. the website www.watcho.com ("Website") and/or Watcho Mobile Application ("Application") inclusive of the third party Over The Top (OTT) applications/websites ("Third Party OTT Applications"), to the Subscribers through different Plans.

By offering the Watcho Service Plans, you agree to be bound by the terms and conditions set forth herein below.

  1. SITI Broadband Limited reserves exclusive right to notify the rates for the different Plans/Offers in regard to the Watcho Services from time to time and also reserves exclusive right to modify/amend the same at its sole discretion from time to time.
  2. It is agreed and accepted by you that you shall only offer the Watcho Services to the Active Subscribers subscribing any of the "My Siti Packs" only, connected and catered by you, in your respective operational area(s), in accordance with the Interconnection Agreement executed with SITI Broadband Limited. It is further agreed and accepted by you that you shall ensure that the applicable Watcho Service Plan is offered to the Subscribers in accordance with the "My Siti Pack" opted by each respective Subscriber.
  3. SITI Broadband Limited reserves the right to change/modify the rates for the different Plans/Offers at its sole discretion subject to 7 (seven) days prior notice to you.
  4. It is agreed and accepted by you that the rate at which the Watcho Services are offered to the Active Subscribers does not exceed the Maximum Retail Price ("MRP") for each Plan specified by SITI Broadband Limited for Subscribers, from time to time.
  5. SITI Broadband Limited shall raise monthly invoice in advance in accordance with the total number of Active Subscribers connected and catered by you as per the agreed rates, and you shall pay the same within a period of 7 (seven) days of receipt of the invoice. You shall be responsible to raise invoices and collect the payment from the Subscribers for the Watcho Service Plan subscribed by them. SITI Broadband Limited shall not be liable for the same in any manner whatsoever.
  6. You shall ensure that the OTT Applications are made available to all the Active Subscribers in the manner in which it is available in the OTT Aggregation Service.
  7. You shall ensure that the applicable Packs shall be offered containing various content partner apps and no individual app shall be offered to the Subscribers.
  8. You shall ensure that there shall be no white labelling of the OTT Aggregation Services as available on the Watcho Platforms.
  9. SITI Broadband Limited reserves the right to add or change/modify the site, site content terms of this Terms of Use at any point of time. Any changes will be posted to https://www.sitibroadband.com and it is your responsibility to refer to the terms on accessing this service.
  10. Changes could be made by SITI Broadband Limited after the first posting to the site at any time, and such modifications shall be effective immediately upon posting of the modified Terms of Use. You agree to review the Terms of Use periodically to be aware of such modifications and your continued access or use of the site shall be deemed your conclusive acceptance of the modified Terms of Use.
